Terms and conditions for usage of our services
- Introduction
This Policy governs the terms under which Adsit.Work (“Service Provider”) will grant administrative (“admin”) access to (Client”) for any website(s), application(s), or system(s) developed or maintained by the Service Provider. It outlines payment terms, liabilities, and responsibilities upon granting admin access.
- Advance Payment and Payment Terms
- One-Year Advance Fee
- The Client agrees to pay a one-year service fee (“Advance Fee”) (the last annual billed amount)upfront as determined and invoiced by the Service Provider.
- The amount of this Advance Fee is agreed upon between the Client and the Service Provider prior to granting admin access.
- This fee is non-refundable under any circumstances, including, but not limited to, termination of this Policy or cessation of services by the Service Provider or the Client.
- Payment Timeline
- The Advance Fee must be received in full before the Service Provider releases admin credentials or transfers admin privileges.
- If payment is delayed, the Service Provider reserves the right to withhold granting admin access until the payment is received in full.
- Late Payment and Interest
- Once an invoice or bill is generated, the Client must pay the invoiced amount in full by the due date indicated on the invoice.
- If the Client fails to pay the invoiced amount on or before the due date, a 35% per month compound interest will be applied to the outstanding balance from the due date until the full amount is paid.
- Any partial payments received will first be applied toward accrued interest before reducing the principal.
- Granting of Admin Access
- Scope of Admin Access
- Once the Advance Fee has been paid, the Service Provider will provide the Client with admin privileges for the relevant website(s), application(s), or system(s).
- Admin privileges typically include the ability to add, modify, or delete content, manage user accounts, install or remove plugins/modules, and configure system settings.
- Commercial Licenses Deregistration
- Prior to granting admin access, any commercial licenses held in the Service Provider’s name or under the Service Provider’s account(s) will be removed or deregistered, ensuring that the Client’s account does not contain or retain any licenses originally held by the Service Provider.
- Liability and Responsibilities
- Usage and Security
- Upon receiving admin access, the Client assumes full responsibility for the management, security, and operation of the system.
- Any unauthorized access, breaches, data loss, or misuse occurring under the Client’s admin privileges is the Client’s sole responsibility.
- Limit of Liability
- The Service Provider shall not be held liable for any damages, losses, or disruptions arising out of or in connection with the Client’s use (or misuse) of admin privileges.
- The Client agrees to indemnify and hold the Service Provider harmless from any third-party claims, liabilities, or damages resulting from the Client’s use of the system under admin access.
- Post-Access Support
- Any modifications, corrections, troubleshooting, or support required after admin access is granted will be billed at actual rates (without any discounts).
- The Client must submit a formal support request to receive a quotation before the Service Provider undertakes any additional work.
- No Warranty
- The Service Provider makes no warranty, express or implied, regarding the functionality, compatibility, or performance of the system once admin access is transferred.
- The Client acknowledges that the Service Provider’s control over the system is substantially reduced once admin access is granted.
- Mischief or Malicious Use
- In the event of any mischief, malicious acts, or misuse of admin access by the Client or anyone gaining access through the Client’s credentials, the Service Provider shall not be held accountable in any manner.
- The Client will bear all expenses and liabilities arising from such acts, including any legal fees, remediation costs, or third-party claims.
- Termination
- Termination by the Service Provider
- The Service Provider reserves the right to terminate this Policy if the Client’s use of admin access violates any applicable laws, infringes on the rights of third parties, or poses reputational or financial risks to the Service Provider.
- In such cases, the Advance Fee will not be refunded.
- Termination by the Client
- The Client may terminate this Policy at any time by providing written notice. However, no portion of the Advance Fee will be refunded.
- Effect of Termination
- Upon termination, the Client retains any admin credentials but loses ongoing support services unless otherwise agreed in writing.
- Any outstanding payments (including accrued interest if applicable) become immediately due.
- Additional Termination Fee
- In the event of a termination of service—initiated either by the Service Provider or by the Client—the Client shall be obligated to pay one full year of advance rent in addition to the non-refundable Admin Access Fee mentioned in Section 2.1.
- Confidentiality
- Both parties shall maintain the confidentiality of any sensitive information, credentials, or data exchanged before and after admin access is granted.
- The Client must ensure that admin credentials are not shared with any unauthorized individuals.
- Governing Law and Dispute Resolution
- This Policy shall be governed by and construed in accordance with the laws of Nagpur/Maharashtra/India
- Any disputes arising under or in connection with this Policy shall be resolved through amicable negotiations between the parties. If negotiations fail, the dispute shall be settled in the competent courts of Nagpur, India.
- Entire Agreement and Acceptance
- This Policy, along with any referenced documents, constitutes the entire agreement between the Service Provider and the Client regarding admin access and the Advance Fee.
- Any modifications or amendments must be in writing and acknowledged by both parties.
- By accessing or using the Service Provider’s services, paying the related invoices, or continuing to exercise admin privileges, the Client acknowledges that they have read, understood, and agree to be bound by this Policy.

The policy may be updated at the discretion of the service provider at any point in time.
Any user/client using Adsit. work services or the ticket system at wpmejba.com to log your tickets are auto-enrolled at the time of onboarding and will have to comply with this policy.
Advance rent is your last billed amount or monthly rental multiplied by 12 whichever is higher.
Post Generation of Invoice it will not be canceled or discounted. Late payment will be calculated as per the policy above.
